STANDARD TERMS AND CONDITIONS OF SALE

1. Legal Basis and Regulatory Compliance

These Standard Terms and Conditions of Sale ("Terms and Conditions") are issued in accordance with the applicable laws, rules, and regulations of the Republic of the Philippines, including but not limited to:

  • The Civil Code of the Philippines;

  • Republic Act No. 7394 (Consumer Act of the Philippines);

  • Republic Act No. 8792 (Electronic Commerce Act);

  • Applicable rules and regulations of the Department of Trade and Industry (DTI) and, where applicable, the Securities and Exchange Commission (SEC);

  • Relevant tax laws and regulations of the Bureau of Internal Revenue (BIR).

These Terms and Conditions govern all sales of goods and/or services by OXORD Computer Solutions & Repair Center (hereinafter referred to as "OXORD", "the Company", "we", "us", or "our") to its clients (hereinafter referred to as the "Client").

By placing an order, signing a quotation, accepting a proposal, making payment, or availing of any product or service from OXORD, the Client acknowledges that they have read, understood, and agreed to be bound by these Terms and Conditions.

2. Waiver of Client’s Standard Terms

The Client expressly waives the application of its own standard terms and conditions, whether existing or subsequently issued, unless such terms are expressly accepted in writing by OXORD. Any amendment, modification, or deviation from these Terms and Conditions shall be valid only if agreed upon in writing and signed by an authorized representative of OXORD.

3. Prices, Quotations, and Invoicing

All quotations issued by OXORD are valid for the period stated therein. Prices are quoted in Philippine Peso (PHP) unless otherwise specified and are exclusive of Value-Added Tax (VAT), withholding tax, or other government-mandated charges, unless expressly stated.

Invoices shall be issued upon delivery of goods, completion of services, or in accordance with agreed milestones. Official receipts shall be issued upon full or partial payment, in compliance with BIR requirements.

4. Payment Terms and Conditions

Unless otherwise agreed in writing, all invoices shall be payable within twenty-one (21) working days from the invoice date.

In case of failure to pay by the due date, OXORD reserves the right, subject to applicable Philippine laws, to:

  • Impose a late payment charge or interest equivalent to ten percent (10%) of the outstanding balance;

  • Temporarily suspend or permanently terminate the delivery of goods and/or services without prior notice until full settlement of the account.

If payment remains unpaid for more than sixty (60) days from the due date, OXORD may endorse the account to a collection or legal recovery agency. All reasonable collection costs, including attorney’s fees and legal expenses, shall be chargeable to the Client to the fullest extent permitted by law.

5. Taxes and Statutory Withholding

The Client acknowledges that Philippine tax laws may require withholding taxes or similar statutory deductions. Any such withholding shall be the sole responsibility of the Client and shall be remitted directly to the Bureau of Internal Revenue or the appropriate government authority.

The full invoiced amount shall remain payable to OXORD, and no deduction or offset shall be made unless required by Philippine law and properly supported by official BIR documentation.

6. Delivery of Goods and Performance of Services

OXORD shall exercise reasonable care, skill, and diligence in delivering goods and performing services in accordance with industry standards and agreed specifications.

Timeframes provided are estimates unless expressly stated as binding. Delays due to force majeure events, supplier issues, system failures, acts of government, or other circumstances beyond OXORD’s reasonable control shall not constitute a breach of contract.

7. Consumer Protection and Warranty

Nothing in these Terms and Conditions shall be construed as limiting or waiving any mandatory rights granted to consumers under the Consumer Act of the Philippines (RA 7394).

Any express or implied warranty shall apply only to the extent required by law or as expressly stated in writing by OXORD. Improper use, unauthorized modification, or third-party intervention shall void any applicable warranty.

8. Limitation of Liability

To the maximum extent permitted by Philippine law, OXORD shall not be liable for indirect, incidental, special, or consequential damages, including loss of income, profit, data, or business opportunities.

OXORD shall not be required to participate as a third party in any claim, complaint, or legal action initiated by an end-user or consumer against the Client.

9. Claims, Returns, and Complaints

Any claim or complaint relating to delivered goods or rendered services must be submitted in writing within eight (8) calendar days from delivery or service completion.

Failure to notify OXORD within the prescribed period shall be deemed a waiver of the Client’s right to file such claim, without prejudice to mandatory consumer rights under Philippine law.

10. Suspension and Termination

OXORD reserves the right to suspend or terminate any agreement or service, without liability, in the event of:

  • Non-payment or delayed payment;

  • Breach of these Terms and Conditions;

  • Fraud, misuse, or unlawful use of OXORD’s products or services.

11. Governing Law and Jurisdiction

These Terms and Conditions and all related contractual relationships shall be governed by and construed in accordance with the laws of the Republic of the Philippines.

Any dispute arising from or related to these Terms and Conditions shall be submitted to the exclusive jurisdiction of the proper courts of the Philippines.

12. Severability

If any provision of these Terms and Conditions is declared invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13. Amendments and Notices

OXORD reserves the right to amend these Terms and Conditions in accordance with applicable laws. Updated versions shall take effect upon written notice, publication, or posting on official company channels.

By transacting with OXORD Computer Solutions & Repair Center, the Client confirms acceptance of these Standard Terms and Conditions of Sale in compliance with Philippine laws and DTI/SEC regulations.
